Loomigrate Terms of Service
Draft version. The Service Provider's details and some of the legal provisions will be supplemented following the company's registration and a legal review.
1. DEFINITIONS AND PARTIES
Service Provider — the entity operating the Loomigrate service; its details (name, registered office, tax identification number (NIP)) will be provided once the company's registration has been completed.
Service — the Loomigrate tool enabling the migration of email, calendars, contacts and files between the source and target systems specified by the Customer.
Customer — a business entity commissioning a migration for its own organisation, as the controller of the data of its employees or users.
2. SCOPE OF THE SERVICE
The Service Provider makes available a technical tool for transferring data between the systems specified by the Customer. The range of supported source–target pairs and modules (mail, calendar, contacts, files) is presented to the Customer in the service panel before the migration begins.
The Service Provider is not the controller of the data migrated on the Customer's instructions — it acts solely as a processor, on the basis of the access credentials provided by the Customer and within the scope commissioned by the Customer.
3. CUSTOMER'S OBLIGATIONS
The Customer represents that:
- it holds a legal basis for processing the data migrated as part of the Service (e.g. as the employer or as the controller of its employees' data) and has fulfilled its information obligations towards those persons under the GDPR;
- the access credentials provided to the Service Provider (passwords, tokens, service account keys) are provided lawfully, with the consent or knowledge of the administrators of the source and target systems;
- if its servers restrict access by IP address, it will allow the address from which the Service connects (85.89.161.251) for the duration of the migration.
4. LIABILITY
Migration between different systems inherently involves the limitations described in section 5. The Service Provider is not liable for the operation or availability of external services (including Google, Microsoft, Dropbox, Box) used by the Service and over which it has no control. Detailed rules and limits of liability will be supplemented following a legal review.
5. KNOWN TECHNICAL LIMITATIONS
The Customer should familiarise itself with the following limitations before commissioning a migration; they apply in particular to migrations between different platforms (e.g. Google Workspace and Microsoft 365):
- Calendar between platforms: common recurring event patterns are supported (daily, weekly, monthly, yearly, with an interval and a common end condition). Unusual or complex recurrence rules are imported as a single event, rather than risking an incorrect mapping. Reminders on individual events are not transferred to Microsoft 365.
- Team files (Google shared drives and SharePoint): transferring the owner role towards SharePoint is not possible (a Microsoft Graph limitation).
- Microsoft Teams: migration from Microsoft 365 to Microsoft 365 only; a new team is created, without message history (a Microsoft Graph limitation).
- Exchange public folders: not supported.
- The full list of limitations for individual platform pairs is presented in the service panel before the migration starts.
The Service provides migration verification mechanisms (including a comparison of the number of messages and files on the target side with the number reported by the migration process), described in the project reporting panel.
6. PAYMENTS
1) Credits. The Service is charged in credits purchased in advance (prepayment, payment operator Stripe). Credits are deducted from the Customer's balance at the moment the migration is started.
2) Pricing. A fee is charged for each migrated account: one rate for a mailbox (mail, calendar and contacts together, whichever of them are selected) and separate rates for a personal drive, a shared drive, a Microsoft Teams team and a PST file. Rates are stated in credits as net prices (1 credit = PLN 1.00 net for Customers in Poland or EUR 1.00 net for all others; the account currency is set from the country given in the billing details and does not change after the first payment); VAT is added to the purchase price of credits in accordance with applicable law. The current price list is published at loomigrate.com, and the total cost is presented in the panel before the migration is started. Projects with a larger number of accounts receive a volume discount according to the thresholds in the price list. Individual rates may result from separate arrangements.
3) Fair use. The rate per account covers up to 100 GB of data per mailbox or drive and up to 100 GB per PST file (the rates for files up to 20, 50 and 100 GB are set out in the price list). Migrating larger accounts may require an individual quote, agreed before the migration is started.
4) Free test. In the wizard a free test can be chosen: a real migration that stops after 200 items (messages, files or events) per account and is not charged. The test covers up to 3 mailboxes or drives per Customer (one Loomigrate account, a company or a private individual) in total, once; those that used it can be re-run free of charge within the test, and deleting an account does not restore the limit. The test does not include the import of PST archives or on-premise mode. The Service Provider may refuse or limit the test where abuse is suspected (e.g. creating several accounts for the same Customer). After switching to a full migration the price list applies, and items already moved in the test are skipped.
5) Fee validity period. A paid migration covers the given account and module pair for its entire duration and for 30 days after its completion. During this period, re-runs and resynchronisations are free of charge and do not extend the period. Once it has expired, any further run is charged as a new migration.
6) Change of account. A change of the login of the source or target account, or of the server address, domain or tenant in a project, is treated as the migration of a different account and ends the fee validity period. A change of connection parameters only (e.g. encryption, port) does not end it.
7) Refunds. Credits for a migration task are refunded automatically and in full only where the task ended with an error and did not transfer any item. A refunded task ceases to cover the account with a validity period. In the event of a partial failure, the fee is not refunded — the Customer may re-run the migration free of charge within the validity period. Tasks cancelled by the Customer are not eligible for a refund. Refunds are credited to the credit balance.
8) The rules for refunding money for unused credits, the validity period of credits held on the balance and the invoicing rules will be supplemented following the company's registration.
7. TERM AND TERMINATION OF THE AGREEMENT
The agreement may be terminated subject to a 30-day notice period. The handling of the Customer's data after the end of the cooperation is described in the Privacy Policy (section 4).
8. FINAL PROVISIONS
Provisions concerning the governing law, the competent court and the procedure for amending these Terms will be supplemented following a legal review. For matters relating to the Service, please contact: info@loomigrate.com.
